1. Definitions

In these Terms & Conditions, the following definitions apply: "knovatemy," "we," "us," or "our" refers to knovatemy, a business consulting firm operating from 18/F, Tower 535, 535 Jaffe Road, Causeway Bay, Hong Kong. "User," "you," or "your" refers to any individual or entity accessing our website or engaging our services. "Services" refers to the consulting engagements, advisory work, and related deliverables offered by knovatemy. "Website" refers to the site hosted at https://knovatemy.biz. "Agreement" refers to these Terms & Conditions together with any engagement-specific terms agreed in writing.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into this agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

3. Description of Services

knovatemy provides business consulting services including, but not limited to, Business Model Redesign, Vendor and Supplier Review, and Internal Communication Audit. Each engagement is scoped and agreed upon individually before work commences. Specific deliverables, timelines, and fees are outlined in engagement proposals or letters of agreement provided to the client. The scope and availability of services may change at our discretion, and we will make reasonable efforts to communicate any material changes in advance.

4. Engagement Process

All consulting engagements begin with an initial discussion to understand your needs and determine whether our services are a suitable fit. If both parties agree to proceed, we will provide a written engagement proposal outlining scope, timeline, deliverables, and fees. Work commences only after the proposal has been accepted in writing (email confirmation is sufficient). Changes to the agreed scope require written agreement from both parties and may affect fees and timelines.

5. User Responsibilities

When using our website, you agree to provide accurate and truthful information in any forms or communications, use the website in a lawful manner and refrain from activities that could harm our systems or reputation, and not reproduce, distribute, or create derivative works from our website content without written permission. When engaging our services, you agree to provide timely access to the information, people, and resources reasonably needed for the engagement, communicate openly about any constraints or concerns that may affect the work, and designate a point of contact who can make decisions or escalate them efficiently.

6. Intellectual Property

All content on our website, including text, graphics, design, and logos, is the property of knovatemy or its licensors and is protected under applicable intellectual property laws. You may not copy, modify, or distribute any part of our website content without prior written consent. Deliverables produced during consulting engagements become the property of the client upon full payment, unless otherwise agreed in writing. knovatemy retains the right to use general methodologies, frameworks, and knowledge gained during engagements in future work, provided that no confidential client information is disclosed.

7. Confidentiality

We treat all client information shared during engagements as confidential. We will not disclose client-specific data to third parties without your written consent, except where required by law. This obligation extends to our consultants and any subcontractors involved in delivering the engagement. We expect clients to similarly treat any proprietary knovatemy methodologies or tools shared during an engagement as confidential.

8. Payment Terms

Fees for our services are set out in the relevant engagement proposal. All prices are quoted in Hong Kong Dollars (HKD) unless otherwise stated. Payment terms are specified in each engagement letter. Invoices are typically issued at the commencement of work or upon agreed milestones. Late payments may be subject to an administrative charge of 2% per month on the outstanding balance. We reserve the right to pause or suspend work if invoices remain unpaid beyond 30 days of the due date.

9. Cancellation and Refunds

Either party may cancel an engagement by providing written notice. If you cancel before work has commenced, any advance payment will be refunded in full. If cancellation occurs after work has begun, fees will be calculated on a pro-rata basis for work completed to date, and any remaining balance will be refunded. Custom deliverables already produced and delivered are not subject to refund. We reserve the right to cancel an engagement if circumstances make it impractical to continue, in which case you will only be charged for work completed.

10. Disclaimers

Our consulting services are provided in good faith based on professional experience and research. However, knovatemy does not warrant that our recommendations will produce specific financial outcomes or business results. All advice is advisory in nature, and the decision to implement any recommendation rests entirely with the client. Our website content is provided for informational purposes only and should not be considered professional advice for any specific situation.

11. Limitation of Liability

To the fullest extent permitted by Hong Kong law, knovatemy's total liability arising out of or in connection with any engagement shall not exceed the fees paid by the client for that engagement. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages. Nothing in these terms limits our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless knovatemy, its directors, employees, and consultants from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms & Conditions, your misuse of our website or services, or any third-party claims resulting from your implementation of recommendations made during an engagement.

13. Termination

Either party may terminate a consulting engagement by providing at least 14 days written notice. We may terminate access to our website or services immediately if you breach any material term of this agreement. Upon termination, all completed deliverables for which payment has been received will be provided to you, any outstanding payments remain due, and confidentiality obligations continue to apply as described in Section 7.

14. Dispute Resolution

These Terms & Conditions are governed by the laws of the Hong Kong Special Administrative Region. In the event of a dispute, both parties agree to first attempt informal resolution through good-faith discussions. If a resolution cannot be reached within 30 days, either party may refer the matter to mediation administered by the Hong Kong International Arbitration Centre (HKIAC). If mediation does not resolve the dispute, the matter may be submitted to the courts of Hong Kong, which shall have non-exclusive jurisdiction.

15. General Provisions

These Terms & Conditions, together with any written engagement proposal, constitute the entire agreement between you and knovatemy with respect to the subject matter herein. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. knovatemy may not assign its obligations under an engagement without written client consent, except in connection with a business transfer or restructuring. Notices may be delivered by email to the addresses provided during the engagement.

16. Changes to These Terms

We may revise these Terms & Conditions from time to time to reflect changes in our services, legal requirements, or business practices. Updated terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms. We encourage you to review this page periodically.
